These Terms of Service ("Terms") govern your access to and use of the website located at in.plaud.ai ("Site") and the purchase of products and services made available through it. The Site is owned and operated by Ageless Digital Technologies Private Limited, a company incorporated in India ("we", "us", or "our").

By accessing the Site or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Site.

Ageless Digital Technologies Private Limited is the authorised importer and distributor of Plaud products in India. Ageless Digital Technologies Private Limited operates this website under an authorised distribution arrangement with Plaud and is not the manufacturer.

Section 2: Eligibility

To use this Site and purchase products, you must:

  • Be at least 18 years of age, or the age of majority in your state or territory, whichever is higher
  • Be legally capable of entering into a binding contract under the Indian Contract Act, 1872
  • Have a valid delivery address within India
  • Not be prohibited from receiving the products under applicable law

By placing an order, you represent and warrant that you meet all of the above conditions. We reserve the right to refuse orders from users who do not meet these requirements.

Section 3: Products and Pricing

3.1 Product information

We take reasonable care to ensure that product descriptions, images, and specifications on the Site are accurate. However, minor variations in colour, finish, or packaging may occur. Product images are for illustrative purposes only.

3.2 Pricing and GST

All prices displayed on the Site are in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST) unless otherwise stated. A breakdown of the price and applicable tax will be shown at checkout before you confirm your order.

In accordance with the Consumer Protection (E-Commerce) Rules, 2020, the total price of a product, including all applicable charges, will be clearly disclosed before the consumer confirms a purchase.

3.3 Price changes

We reserve the right to change product prices at any time without prior notice. The price applicable to your order is the price displayed at the time you place your order. Once your order is confirmed, the price will not be changed.

3.4 Country of origin

Country of origin information for all products is displayed on the relevant product listing page and on the product packaging, in accordance with the Legal Metrology (Packaged Commodities) Rules, 2011.

3.5 Imported goods disclosure

Plaud products available on this Site are imported goods. The importer and distributor of these products in India is Ageless Digital Technologies Private Limited, whose details are set out in Section 1 above.

Section 4: Orders and Contract Formation

4.1 Placing an order

By clicking to confirm your order and completing payment, you make an offer to purchase the selected products subject to these Terms. A binding contract is formed only when we send you an order confirmation by email. We reserve the right to decline any order after it has been placed, in which case a refund will be issued using the original payment method.

4.2 Order confirmation

You will receive an order confirmation email once your payment has been processed and your order has been accepted. Please retain this email as your record of the transaction.

4.3 Cancellations

You may cancel your order before it is dispatched. To cancel, please contact us as soon as possible using the details on our Contact Us page. Once an order has been dispatched, it may not be cancelled, but you may be eligible to return the product under our Returns Policy. Please note that a 3% payment gateway fee will be deducted from your refund for all cancelled orders. This reflects the actual transaction cost charged by our payment provider, which is non-refundable to us. No deduction will be made where the order is cancelled because the product you received was defective, damaged, or incorrect — in those cases you will be refunded in full. The same fee applies if we cancel your order for any reason on our side.

4.4 Order verification

For the protection of all parties, orders may be subject to a verification process. We reserve the right to request supporting information to confirm the legitimacy of an order. If verification cannot be completed, the order may be declined and a full refund will be issued.

Section 5: Payment

Payment terms for this Site are set out in full in our Payment Policy, which is incorporated into these Terms by reference. By placing an order, you agree to the Payment Policy.

All transactions are subject to applicable RBI guidelines, including requirements for Additional Factor of Authentication (AFA/OTP) for card-not-present transactions.

Section 6: Delivery

6.1 Delivery area

We currently deliver to addresses within India only. Delivery to specific pin codes may be subject to availability. You will be notified at checkout if delivery is unavailable to your address.

6.2 Delivery timelines

Estimated delivery timelines are displayed at checkout and in your order confirmation email. These are estimates only and are not guaranteed. We are not liable for delays caused by third-party logistics providers, adverse weather, natural events, or other circumstances beyond our reasonable control.

6.3 Risk and title

Risk in the products passes to you upon delivery to your specified address. Title to the products passes to you upon receipt of full payment.

6.4 Failed delivery

If delivery is unsuccessful due to an incorrect address provided by you, or if delivery is refused without valid cause, the cost of re-delivery may be charged to you. Please ensure your delivery address and contact details are accurate at the time of placing your order.

Section 7: Returns, Refunds, and Warranty

7.1 Returns and refunds

Our returns and refund policy is set out separately in our Returns Policy, which is incorporated into these Terms by reference. Nothing in these Terms limits your statutory rights as a consumer under the Consumer Protection Act, 2019.

7.2 Statutory consumer rights

Under the Consumer Protection Act, 2019, you have rights as a consumer that cannot be excluded or limited by contract. These include the right to receive goods that conform to their description, are of satisfactory quality, and are fit for the purpose communicated to us at the time of purchase. These rights exist independently of any warranty we provide.

7.3 Product warranty

Plaud products come with a manufacturer's warranty. Details of the applicable warranty period, coverage, and claim process will be provided in the product packaging and on the product page. Warranty claims for products purchased through this Site should be directed to our customer support team.

Section 8: AI Features and Subscription Services

Plaud products include access to AI-powered features, including transcription, summarisation, and related services ("AI Services"), which may be provided directly by Plaud Inc. or its affiliates through the Plaud platform or application.

8.1 Access to AI Services

Access to certain AI Services may require creation of a Plaud account and acceptance of separate terms and conditions set by Plaud Inc. or its affiliates. Those terms govern your use of the AI Services and are separate from these Terms. We encourage you to review them before activating your device.

8.2 Subscription plans

Some AI features may require a paid subscription. Subscription terms, pricing, renewal conditions, and cancellation rights for AI Services will be set out in the Plaud application or platform at the time of subscription. These are governed by Plaud Inc.'s terms and are separate from your product purchase on this Site.

8.3 AI Services availability

AI Services may be subject to change, temporary unavailability, or discontinuation by Plaud Inc. We are not responsible for any changes to AI Services made by Plaud Inc. after your purchase. However, if a product is advertised with specific AI features at the time of purchase and those features are materially altered or removed, you may have rights under the Consumer Protection Act, 2019.

8.4 Data processing by AI Services

Use of the AI features involves processing of voice recordings and related personal data. Please review Plaud's Privacy Policy and AI Services terms for details on how this data is collected, processed, and stored. Recording laws in India do not impose a general consent requirement for recording conversations you are party to; however, recording others without their knowledge may engage their privacy rights under Indian law, and recordings must not be used unlawfully. You are responsible for complying with applicable laws in your context. Accordingly, we recommend disclosing the use of a recording device before you start to record.

Section 9: Accounts

9.1 Account creation

Certain features of the Site or AI Services may require you to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately if you become aware of any unauthorised access to your account.

9.2 Account accuracy

You agree to provide accurate, complete, and current information when creating an account and to keep this information up to date. We reserve the right to suspend or terminate accounts where information is found to be false or misleading.

9.3 One account per user

Each user may maintain only one account on the Site. We reserve the right to suspend or terminate duplicate accounts.

You agree to use this Site only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Site in any way that violates applicable Indian law or regulation
  • Attempt to gain unauthorised access to any part of the Site or its underlying systems
  • Use automated tools, bots, or scraping technologies to access or extract Site content without our written permission
  • Post or transmit any content that is defamatory, obscene, fraudulent, or in violation of any third party's rights
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Use the Site for any commercial purpose other than purchasing products for your own use, without our prior written consent

We reserve the right to restrict or terminate your access to the Site if you breach this section.

All content on this Site — including text, images, graphics, logos, product names, and software — is the property of Ageless Digital Technologies Private Limited, or their respective licensors, and is protected under applicable Indian and international intellectual property laws.

You may not reproduce, distribute, republish, or create derivative works from any Site content without our express written permission. Nothing in these Terms grants you any licence or right to use any trademark, trade name, or brand of Plaud.

If you submit any feedback, suggestions, or reviews to us, you grant us a non-exclusive, royalty-free licence to use that content for the purpose of operating and improving the Site and our products. You retain ownership of your content. We will not use your personal data in connection with this licence except as described in our Privacy Policy.

Section 12: Third-Party Links and Services

The Site may contain links to third-party websites or services, including payment gateways, logistics providers, and the Plaud application platform operated by Plaud Inc. We do not control these third-party services and are not responsible for their content, privacy practices, or terms. Accessing a third-party service from this Site is at your own risk.

We encourage you to review the terms and privacy policies of any third-party services you access through links on this Site.

Section 13: Data Protection and Privacy

Your personal data is processed in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the collection and processing of your personal data as described in the Privacy Policy.

We process your personal data as a Data Fiduciary under the Digital Personal Data Protection Act, 2023 (DPDPA). You have rights under the DPDPA, including the right to access, correct, and erase your personal data, and the right to withdraw consent. These rights are explained in the Privacy Policy.

Section 14: Limitation of Liability

14.1 Consumer rights preserved

Nothing in these Terms excludes or limits any right or remedy available to you under the Consumer Protection Act, 2019 or any other mandatory Indian law. These Terms do not affect your statutory rights as a consumer.

14.2 Our liability for products

We are responsible for ensuring that products sold through this Site conform to the description provided and are of satisfactory quality at the time of delivery. If a product is defective or does not conform to its description, your rights are set out in Section 7 and our Returns Policy.

14.3 Limitation on indirect losses

Subject to clause 14.1, we are not liable for any indirect, incidental, or consequential loss arising from your use of the Site, including loss of profits, loss of data, or business interruption, to the extent permitted by applicable Indian law.

14.4 Overall liability cap

Subject to clause 14.1, our total liability to you for any claim arising out of or in connection with a product purchased through this Site shall not exceed the price paid by you for the relevant product.

We have appointed a Grievance Officer to handle consumer complaints in accordance with the Consumer Protection (E-Commerce) Rules, 2020.

All complaints will be acknowledged within 48 hours of receipt and resolved within 30 days, in accordance with the Consumer Protection (E-Commerce) Rules, 2020.

Section 16: Dispute Resolution

16.1 Informal resolution

If you have a complaint or dispute, we encourage you to contact our customer support team first. Most issues can be resolved quickly and informally.

16.2 Consumer forums

If your complaint is not resolved through our grievance process, you have the right to approach the appropriate Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019 — District, State, or National, depending on the value of your claim.

16.3 Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms that is not resolved through the grievance process above shall be subject to the exclusive jurisdiction of the courts at Gautam Buddh Nagar (Noida), Uttar Pradesh, India.

Section 17: Force Majeure

We will not be liable for any delay or failure to fulfil our obligations under these Terms where such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, strikes, or disruptions to supply chains or logistics networks.

If a force majeure event prevents us from fulfilling an order, we will notify you as soon as reasonably practicable and offer you a full refund or a revised delivery timeline, at your choice.

Section 18: Amendments to These Terms

We may update these Terms from time to time to reflect changes in law, our products, or our business practices. The updated Terms will be posted on the Site with a revised effective date. Where changes are material, we will make reasonable efforts to notify you directly (for example, by email to registered users).

Your continued use of the Site after the updated Terms are posted constitutes acceptance of those changes. If you do not agree to the updated Terms, please stop using the Site.

Section 19: General Provisions

19.1 Entire agreement

These Terms, together with our Privacy Policy, Payment Policy, and Returns Policy (each incorporated by reference), constitute the entire agreement between you and us in relation to your use of the Site and purchase of products.

19.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or removed if modification is not possible. The remaining provisions shall continue in full force.

19.3 No waiver

Our failure to enforce any provision of these Terms on any occasion does not constitute a waiver of our right to enforce that or any other provision in the future.

19.4 No assignment by you

You may not assign or transfer any rights or obligations under these Terms to any third party. We may assign our rights and obligations to any affiliated company or in connection with a merger, acquisition, or sale of our business, provided that your rights under these Terms are not materially diminished.

19.5 Relationship of parties

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and us.

19.6 Language

These Terms are published in English. In the event of any conflict between an English version and any translation, the English version shall prevail.
